These Terms and Conditions govern access to and use of the ODD website operated by Oleokimia Niaga Sdn Bhd.
Last updated
These Terms and Conditions govern access to and use of the ODD website operated by Oleokimia Niaga Sdn Bhd ("Oleokimia", "ODD", "we", "us" or "our"). By accessing, browsing or using this website, submitting an enquiry, downloading a document or otherwise interacting with our online services, you acknowledge that you have read and agree to these Terms and Conditions.
If you do not agree to these terms, please stop using the website. Additional written terms may apply to quotations, orders, credit arrangements, supply contracts, logistics services or other transactions. If there is an inconsistency, the terms contained in the formally accepted quotation, sales confirmation or written contract will take priority for that transaction.
1.1About The Website
The website provides general corporate, commercial and product information concerning oleochemicals, surfactants, petrochemicals, chemical derivatives and related sourcing, distribution, technical and supply-chain services. Website content is intended to support initial enquiries and does not constitute a complete technical, regulatory or contractual description of any product or service.
1.2Eligibility And Acceptable Use
You may use this website only for lawful business and informational purposes. You must not misuse the website, interfere with its operation, attempt unauthorised access, introduce malicious software, collect information through unauthorised automated means, impersonate another person or organisation, or use the website in a manner that may damage ODD, Oleokimia, our suppliers, customers or other users.
1.3Product Information
Product names, categories, descriptions, images, applications, typical values, specifications, grades, origins, packaging formats, certifications and availability are provided as general guidance. They may differ by manufacturer, supplier, production site, batch, market, destination, formulation or customer requirement.
No website statement should be treated as a guaranteed specification, certificate, professional recommendation or promise of performance. Only the documents specifically issued or approved for the relevant product, manufacturer and batch should be relied upon for a purchase or technical decision.
1.4Product Availability And Sourcing
Product availability is subject to confirmation. We may source products through a network of manufacturers and suppliers. A product shown online may be unavailable, replaced, discontinued, subject to a minimum order quantity, or offered with different specifications or commercial conditions. We may decline an enquiry or order where supply, compliance, credit, logistics or other requirements cannot reasonably be satisfied.
1.5Quotations And Formation Of Contract
An online enquiry, request for quotation or exchange of preliminary information does not create a binding obligation to supply or purchase. Prices, currencies, duties, taxes, freight, insurance, minimum order quantities, Incoterms, lead times, payment terms and validity periods must be confirmed in writing.
A binding supply arrangement is formed only when the parties execute an agreement or when Oleokimia issues a written order acceptance or sales confirmation, subject to the terms stated in that document. We may correct clerical, typographical, pricing or calculation errors before final acceptance.
1.6Samples, Testing And Approval
Samples and preliminary technical information may be supplied for evaluation. The customer is responsible for conducting appropriate testing, validation, compatibility assessment, stability studies, production trials and regulatory review before commercial use. Approval of a sample does not remove the need to assess subsequent batches against agreed requirements.
1.7Customer Responsibility And Suitability
The customer remains responsible for determining whether a product is suitable for its intended formulation, process, equipment, end use, territory and regulatory classification. This includes assessing interactions with other substances, workplace exposure, environmental impact, consumer safety and any industry-specific requirements.
Unless expressly agreed in writing, ODD and Oleokimia do not provide medical, toxicological, legal or regulatory advice. Technical assistance is general in nature and must be independently verified by competent personnel.
1.8Safety, Storage And Handling
Products must be transported, received, stored, handled, processed and disposed of according to the latest applicable Safety Data Sheet, product specification, label, local law and accepted industry practice. Customers must ensure that employees, contractors and downstream users receive appropriate information, equipment and training.
A website summary or marketing description must never replace an official product-specific Safety Data Sheet or other mandatory safety document.
1.9Certifications And Compliance Statements
Any reference to RSPO, Halal, HACCP, ISO, Kosher or another certification or standard applies only where supported by a valid document for the relevant manufacturer, production site, product and period. Certification status must be confirmed at the time of enquiry or order and must not be assumed to apply to every product supplied through our network.
1.10Shipping, Delivery And Documentation
Shipping schedules, routes and delivery dates are estimates unless expressly guaranteed in writing. Delays may result from production, port congestion, carrier availability, customs, inspections, documentation, weather, force majeure or events outside our reasonable control. Responsibility for freight, insurance, import clearance, duties and risk transfer will be determined by the agreed written terms and applicable Incoterms.
1.11Intellectual Property
Unless otherwise stated, the website and its text, design, graphics, logos, photographs, product presentations, documents and other content are owned by or licensed to Oleokimia. You may view and download content for legitimate internal business evaluation. You may not reproduce, republish, modify, distribute, sell, scrape or commercially exploit it without prior written permission.
Third-party trademarks and manufacturer names remain the property of their respective owners. Their appearance does not imply ownership, endorsement or an exclusive relationship unless expressly stated.
1.12External Links And Third-Party Materials
The website may include links or documents supplied by manufacturers, laboratories, certification bodies, logistics providers or other third parties. These resources are provided for convenience. We do not control external websites and are not responsible for their security, availability, accuracy or privacy practices.
1.13Website Accuracy And Availability
We make reasonable efforts to keep information useful and current, but do not guarantee that the website is complete, error-free, uninterrupted, secure or continuously available. We may modify, suspend or remove content or website functions without notice.
1.14Disclaimer Of Warranties
To the maximum extent permitted by law, the website and its content are provided on an "as available" and "as is" basis. Oleokimia disclaims implied warranties relating to accuracy, merchantability, fitness for a particular purpose, non-infringement and uninterrupted access, except where such warranties cannot lawfully be excluded.
1.15Limitation Of Liability
To the maximum extent permitted by law, Oleokimia will not be liable for indirect, incidental, special, punitive or consequential loss arising from use of or reliance on the website, including loss of profit, production, revenue, opportunity, data, reputation or anticipated savings. Nothing in these terms excludes liability that cannot legally be excluded.
1.16Indemnity
You agree to be responsible for loss or claims reasonably arising from your unlawful misuse of the website, violation of these terms, infringement of another party's rights, or handling and use of products contrary to applicable documentation, law or agreed conditions.
1.17Privacy
Personal data submitted through the website is handled in accordance with the Privacy Policy. Please read that policy before submitting personal information.
1.18Changes To These Terms
We may revise these Terms and Conditions from time to time. The current version will be published on this page and identified by its last-updated date. Continued use of the website after an update constitutes acceptance of the revised terms.
1.19Governing Law
These Terms and Conditions are governed by the laws of Malaysia. Subject to any mandatory legal rights and any written dispute-resolution agreement between the parties, disputes relating to this website will be subject to the jurisdiction of the courts of Malaysia.
